<br />KNOW ALL MEN BY THESE PRESENTS that the undersigned, COUNTY OF LEE, a body politic and
<br />corporate existing under the laws of the State of North Carolina, in consideration of the sum of eight
<br />hundred thousand and 00 /100 dollars ($800,000.00) to them in hand, paid in two installments over two
<br />fiscal years beginning in 2015, and other valuable consideration, the receipt of which is hereby
<br />acknowledged, have granted, bargained, sold, conveyed, transferred and delivered and by these
<br />presents do bargain, grant, sell, convey, transfer and deliver unto CITY OF SANFORD, a North Carolina
<br />municipal corporation organized and existing under the laws of the State of North Carolina, any and all
<br />interest they may have in the sewer outfall line, lift station, pumps, valves, pipes, lines, manholes,
<br />generators, and force main serving the Lee County Industrial Park area, any and all appurtenances
<br />thereto appertaining, including but not limited to any easements, licenses, encroachment agreements,
<br />rights of way, governmental licenses, and permits owned by Lee County in connection with the use,
<br />operation and maintenance of the system, as shown on Exhibit A, and as described in the Interlocal
<br />Agreement dated November 6, 2001 and Agreement dated April , 2015, copies of which are
<br />attached hereto.
<br />And the undersigned, for and on behalf of themselves, their successors and assigns, warrant and
<br />represent to CITY OF SANFORD, that the title conveyed is good; its transfer is rightful; and the property
<br />is, has been, or shall be delivered free from any security interest or other lien or encumbrance. The
<br />undersigned covenants that the County of Lee is seized of the premises in fee simple, has the right to
<br />convey the same in fee simple, that title is marketable and free and clear of all encumbrances, and that
<br />Grantor will warrant and defend the title against the lawful claims of all persons whomsoever.
<br />IN WITNESS WHEREOF, the County of Lee, pursuant to a resolution first duly adopted by its
<br />Board of Commissioners, has caused this Bill of Sale to be executed in its corporate name by the
<br />Chairman of its Board of.Commissioners, attested to by the Clerk to the Board and sealed with the
<br />County seal, as of the ` ay of April, 2015.
