B K - 00027 PG <br />Addendum Exhibit A -1 <br />Exclusions from Operating Expenses <br />The following items to be excluded from operating costs: <br />(a) ground lease rent; <br />(b) capital expenses for improvements and/or equipment; <br />(c) costs for which Landlord is reimbursed by its insurance carrier or any tenant's insurance <br />carrier (but not excluding any reasonable deductibles not to exceed $5,000.00); <br />(d) costs incurred with respect to the installation of improvements for the exclusive use of <br />any tenant or other occupant in the Office Building, or costs otherwise incurred in renovating or <br />otherwise improving, decorating, painting or redecorating vacant space for tenants or other <br />occupants of the Office Building (including, without limitation, permit, license and inspection <br />costs); <br />(e) depreciation and amortization; <br />(f) marketing costs (including attorneys' fees, space planners' fees, real estate brokers' <br />commissions, marketing and advertising expenses) incurred in connection with negotiation and <br />preparation of letters, deal memos, letters of intent, leases, subleases, assignments or other <br />transactions with present or prospective tenants or other occupants of the Office Building; <br />(g) expenses in connection with services or other benefits which are not provided to Tenant <br />or for which Tenant is charged directly, but which are provided to another tenant or occupant of <br />the Office Building without direct charge; <br />(h) costs or expenses resulting from the violation of this Lease by Landlord, or the violation <br />of other tenants of the provisions of their leases (excepting, however, the cost of any reasonable <br />insurance deductible permitted by this Lease, if such violation results in an insured loss); <br />(i) overhead and profit increment paid to Landlord or to subsidiaries or affiliates of Landlord <br />for goods or services in the Office Building to the extent same exceeds the costs of such services <br />rendered by unaffiliated third parties on a competitive basis; <br />0) interest, principal, points and fees on debts, or amortization on any mortgage (first or <br />otherwise) or other debt instrument encumbering the Office Building or the real property on <br />which it is situated; <br />(k) compensation paid to clerks, attendants or other persons in commercial concessions in the <br />Office Building operated by Landlord; <br />(1) advertising and promotional expenditures (including, without limitation, the costs of <br />signs in or on the Office Building which identify Landlord or another tenant); <br />7of8 <br />
