0 0 <br />BOOK c3 HGE 92 <br />Work". All services required hereunder shall be completed on or before the end <br />of the contract period: June 30, 2010. For the purposes of the statute of <br />limitations, and in recognition of the fact that closeout procedures, audit, audit <br />resolution, and collection of disallowed costs will occur after the contract period, <br />this contract shall not be considered completed until final action on any <br />disallowed costs by USDOL has been taken and the time for appeal of disallowed <br />costs has expired. <br />4. Compensation and Method of Pavment <br />In the case of activities covered by cost reimbursement provisions, the Contractor <br />shall be compensated for the work and services to be performed under this <br />contract by monthly reimbursements based on allowable expenditures actually <br />made, unless otherwise specifically agreed to the contrary. For any activities <br />covered by fixed unit price/performance based provisions, the Contractor shall be <br />compensated based upon the benchmark schedule included in the Attachment A <br />"Statement of Work". In no event, however, will the total compensation and <br />reimbursement, if any, to be paid the Contractor under this contract exceed the <br />sum of $126,592.00 in WIA funds as described in Attachment B "Budget". <br />Provided further, the Contractor acknowledges that the College and the Mid- <br />Carolina Local Workforce Investment Area are receiving monies to fund WIA <br />activities from the State and that the College's obligations to pay any funds is <br />conditioned upon receipt of such funds. The College may impose restrictions <br />upon the maintenance of excess cash by the contractor consistent with the <br />restrictions placed upon the College by the State and the United States Treasury <br />Department. <br />5. Approval of Subcontract or Assignability <br />The Contractor shall not assign all or any portion of its interests in this contract, <br />nor shall any of the work or services to be performed wider this contract by the <br />Contractor be subcontracted, without the prior written approval of the Mid- <br />Carolina Local Workforce Investment Area administrative entity. <br />6. Agenev of the College Administrative <br />The College and Mid-Carolina Local Workforce Investment Area staff shall <br />perform the administrative, enforcement, evaluation, coordination of the work, <br />and monitoring of this contract as agents of the College. Neither the College nor <br />its staff shall be a party to this agreement or have any liability hereunder to the <br />Contractor. <br />All notices, reports, other information including each monthly financial status <br />report (Attachment C) shall be forwarded to the Mid-Carolina Local Workforce <br />Investment Area, c/o Central Carolina Community College, 1105 Kelly Drive, <br />Sanford, North Carolina 27330 Attention: Ms. Stelfanie Williams, Acting <br />Page 2 of 16 <br />
