1.8 Trade Secrets /Confidentiality <br />a. Upon receipt by the County, all proposals are considered public record except for <br />material which qualifies as "trade secret" information under N.C. General Statute <br />66 -152 et. seq. After the Proposal opening, County staff responsible for <br />evaluating said Proposal, as well as other County staff and members of the <br />general public who submit public records requests will review the Proposal. To <br />properly designate material as trade secret under these circumstances, each <br />Service Provider must take the following precautions: <br />1. Any trade secrets submitted by a Proposer should be submitted in a <br />separate, sealed envelope marked "Trade Secret — Confidential <br />Proprietary Information — Do Not Disclose Except for the Purpose of <br />Evaluating this Proposal "; and <br />2. The same trade secret/confidentiality designation should be clearly <br />displayed on each page of the trade secret materials contained in the <br />envelope. Each original and copy of the Proposal must include all trade <br />secret materials. <br />b. In submitting a Proposal, each Proposer agrees that the County may reveal any <br />trade secret materials contained in such response to all County staff and County <br />officials involved in the selection process or any consultant or other third parties <br />who are hired by the County to assist in the selection process. Furthermore, each <br />Proposer agrees to indemnify and hold harmless the County and each of its <br />officers, employees, and agents from all costs, damages, and expenses incurred in <br />connection with refusing to disclose any material, which the Proposer has <br />designated as a trade secret. Any Service Provider that designates its entire <br />Proposal as a trade secret may be disqualified. <br />1.9 Reservation of Right to Change Schedule <br />The County shall ultimately determine the timing and sequence of events resulting from <br />this RFP. The County reserves the right to delay the closing date and time for any phase <br />if the County staff believe that an extension would be in the best interest of the County. <br />1.10 Reservation of Right to Amend RFP <br />The County reserves the right to amend the RFP at any time during the process, if it <br />believes that doing so is in the best interests of the County. Any addenda will be <br />forwarded to all Proposers via the information contained on their returned Request for <br />Proposals Acknowledgement Form, as well as being posted on the County's website <br />(www.leecountync.gov) Proposers are required to acknowledge their receipt of each <br />addendum by using the Addenda Receipt Confirmation Form contained in the RFP <br />Package. <br />Page 5 <br />
